The UK's Competition and Markets Authority (CMA) has commenced a "phase 1" investigation into Hewlett Packard Enterprise's (HPE) proposed acquisition of Juniper Networks. This inquiry is in its early stages, assessing whether the transaction may "result in a substantial lessening of competition within any market or markets in the United Kingdom for goods or services."

HPE announced its intention to acquire Juniper Networks in January 2024, aiming to consolidate their strengths in networking and IT infrastructure. This acquisition encompasses a wide range of services and products, including servers, storage, consulting, routing, switching, and security. As is common with such large-scale deals, a key motivation behind the merger is to "accelerate AI-driven innovation," reflecting the crucial role cloud infrastructure plays in the rapidly growing AI sector.

At the time of the announcement, HPE stated it would pay $40 per share, representing a 32% premium over Juniper Networks' most recent closing price, amounting to a total value of $14 billion. The sheer magnitude of this deal meant it was always likely to attract significant regulatory scrutiny, which is perhaps why HPE anticipated closing the deal by early 2025 — a full year after the initial announcement.

The UK is the first jurisdiction to initiate a formal review of the merger, though it is expected that the European Commission will also scrutinize the deal. Additionally, the Federal Trade Commission (FTC) in the United States could potentially raise concerns. Meanwhile, regulatory authorities in Brazil granted unconditional approval to the acquisition in May.

Currently, the CMA is inviting comments from relevant stakeholders, with a deadline set for July 3. The authority will then have until August 14 to decide whether to escalate the investigation to a formal "phase 2" inquiry. This process could prove pivotal in determining the fate of the merger, as regulatory hurdles have the potential to derail such significant deals. A notable precedent is Adobe's $20 billion bid for Figma, which was abandoned last year due to regulatory pushback from both the EU and the UK.
